4. PRODUCTS SOLD FOR PERSONAL USE ONLY

To the fullest extent permitted by applicable law, Sonicific shall not be responsible for adverse reactions, injuries, or damages resulting from misuse of the Products, failure to follow instructions, unauthorized modification of the Products, use contrary to medical advice, or use in combination with substances not recommended by a qualified healthcare professional.

Nothing in this Section excludes or limits any rights or remedies that cannot be waived under applicable law.

Product Misuse: Sonicific shall not be liable for damages arising from improper storage, misuse, abuse, overconsumption, unauthorized modification, repackaging, use of expired Products, failure to follow instructions, or use inconsistent with Product labeling.

5B. NO RELIANCE

You acknowledge and agree that, in deciding to purchase or use any Product, you are not relying upon any representation, warranty, promise, statement, or expectation regarding the Products except as expressly set forth in these Terms or on the official Product label applicable to the Product you purchased.

Without limiting the foregoing, you acknowledge that customer reviews, testimonials, before-and-after photographs, influencer content, affiliate promotions, social media posts, blog articles, educational materials, or other informational content are provided for general informational or promotional purposes only and should not be interpreted as guarantees of any specific outcome, medical result, or product performance.

No employee, customer service representative, distributor, reseller, affiliate, influencer, or other third party has authority to modify these Terms or create any warranty, guarantee, or representation on behalf of Sonicific unless expressly authorized in writing by Sonicific.

You acknowledge that individual results may vary and that your decision to purchase any Product is based upon your own independent evaluation, including your review of the Product labeling, ingredients, directions for use, and these Terms.

Any examples, illustrations, testimonials, customer experiences, or success stories are intended solely to illustrate individual experiences and do not constitute promises, guarantees, or typical results.

Without limitation, you acknowledge that advertisements, promotional materials, social media content, influencer endorsements, affiliate content, blog articles, AI-generated responses, customer service communications, or other marketing materials are provided for informational or promotional purposes only and do not create any warranty, guarantee, or representation regarding the Products unless expressly stated in these Terms or on the official Product label.

PRODUCT LABEL CONTROLS:

In the event of any conflict, inconsistency, ambiguity, or discrepancy between the information displayed on the Website, advertisements, social media content, marketing materials, customer service communications, or any other promotional materials and the information contained on the official Product label, the Product label accompanying the Product at the time of purchase shall control to the fullest extent permitted by applicable law.

5D. ALLERGEN INFORMATION

Although Sonicific strives to accurately disclose all Product ingredients, certain Products may be manufactured, processed, or packaged in facilities that also process milk, soy, wheat, peanuts, tree nuts, fish, shellfish, eggs, sesame, or other allergens.

Customers with food allergies or sensitivities should carefully review Product labels and consult their healthcare provider before using any Product.

5E. CHILDREN

Unless expressly stated on the Product label, Sonicific Products are intended for use by adults only and should be kept out of the reach of children.

Parents or legal guardians are solely responsible for determining whether any Product is appropriate for use by a minor after consulting a qualified healthcare professional.

5F. OTHERS:

• Emergency Medical Clause: If you believe that you are experiencing a medical emergency, discontinue use of the Product immediately and contact your local emergency services without delay.

• Athlete Clause: Competitive athletes are solely responsible for determining whether any Product complies with the rules, regulations, and prohibited substance lists of their applicable sporting organizations.

6. WEBSITE AVAILABILITY; PRODUCT OFFERINGS; PRICING

Sonicific reserves the right, at any time and without prior notice, to modify, suspend, restrict, discontinue, or terminate the operation of the Website, or any feature, functionality, content, product, service, or portion thereof, whether temporarily or permanently. Product availability is subject to inventory levels, shipping restrictions, legal requirements, and other operational limitations. We reserve the right to limit quantities purchased, refuse orders, or restrict sales to any customer, household, geographic region, or jurisdiction where permitted by applicable law.

If payment has already been collected for a cancelled order, the applicable amount will be refunded using the original payment method.

Prices displayed on the Website are quoted in the applicable currency identified at checkout unless otherwise stated and do not include applicable taxes, duties, customs fees, or other governmental charges unless expressly indicated. Customers are solely responsible for any additional taxes, import duties, customs clearance fees, or similar charges imposed by their local jurisdiction.

Sonicific reserves the right to modify Product formulations, ingredients, flavors, colors, inactive ingredients, packaging, labeling, serving sizes, or nutritional information at any time without prior notice, provided such changes comply with applicable law.

Due to the use of natural ingredients, Products may exhibit minor variations in color, taste, smell, texture, or appearance between production batches. 

PROMOTIONS

Promotional offers, discount codes, rewards, coupons, gifts, loyalty benefits, referral programs, and similar promotions are subject to additional terms.

Sonicific may modify, suspend, or terminate any promotion at any time without prior notice.

7. PAYMENT TERMS

All payments made through the Website shall be processed in the currency displayed at checkout. Unless otherwise specified, all prices are quoted in U.S. Dollars (USD).

By placing an order and submitting payment information, you represent and warrant that:

• You are legally authorized to use the selected payment method.

• All payment, billing, and account information you provide is accurate, current, and complete.

• You have sufficient available funds or credit to complete the transaction.

• Your payment method has not been obtained through unauthorized or fraudulent means.

Sonicific reserves the right to verify payment information before accepting or fulfilling any order. We may decline, suspend, cancel, or delay an order if we reasonably believe that a transaction is fraudulent, unauthorized, violates these Terms, or cannot be successfully processed.

Payment processing services are provided by independent third-party payment processors. By submitting your payment information, you authorize Sonicific and its payment service providers to charge the full amount of your order, including applicable taxes, shipping charges, duties, or other fees disclosed at checkout.

If your payment cannot be authorized, is declined, reversed, disputed, charged back, or otherwise fails after an order has been placed or fulfilled, Sonicific reserves the right to suspend shipment, cancel the order, recover any outstanding amounts owed, and pursue any lawful remedies available to collect payment.

For your convenience, certain payment processors may automatically update expired or replaced payment card information using services provided by your card issuer. Sonicific does not control these account updating services and is not responsible for the accuracy or availability of updated payment information. If you wish to disable such services, you should contact your financial institution or card issuer directly.

You are solely responsible for any fees, foreign exchange charges, overdraft fees, interest, service charges, or other costs imposed by your bank, card issuer, payment provider, or financial institution in connection with your purchase.

All payments are subject to fraud prevention, identity verification, and security screening procedures. Sonicific reserves the right to refuse or cancel any transaction that appears suspicious or that cannot be adequately verified, without liability to you, except that any authorized payment successfully received for a cancelled order will be refunded in accordance with our Refund Policy and applicable law.

FRAUD PREVENTION; CHARGEBACKS; PAYMENT DISPUTES

Sonicific is committed to preventing fraudulent transactions and protecting the security of our customers and payment systems.

We reserve the right, in our sole discretion and to the fullest extent permitted by applicable law, to investigate any order, payment, refund request, chargeback, or other transaction that we reasonably believe may involve fraud, abuse, unauthorized activity, theft, identity misrepresentation, payment manipulation, or other suspicious conduct.

As part of any fraud review, Sonicific may request additional information or documentation, including without limitation:

• government-issued identification;

• proof of billing address;

• confirmation of the shipping address;

• proof of identity;

• carrier delivery information;

• signed declarations; or

• any other information reasonably necessary to verify the legitimacy of the transaction.

Failure to provide requested information within a reasonable period may result in order cancellation, shipment delay, denial of a refund request, or refusal of future transactions, to the extent permitted by applicable law.

Customers agree not to initiate a payment dispute or chargeback with their payment provider without first making a good-faith effort to contact Sonicific Customer Support to seek resolution.

Nothing in this Section limits your rights under applicable consumer protection laws or the rules of your payment card network.

If Sonicific reasonably determines that a customer has engaged in fraudulent chargebacks, refund abuse, repeated false claims of non-delivery, abuse of promotional offers, identity fraud, or other dishonest purchasing practices, Sonicific reserves the right, to the fullest extent permitted by applicable law, to:

(a) refuse or cancel current or future orders;

(b) suspend or terminate the customer's account;

(c) refuse participation in promotional programs or subscriptions;

(d) require signature confirmation or additional verification for future purchases; and

(e) pursue any other lawful remedies available under applicable law.

Nothing in this Section limits Sonicific's ability to report suspected fraudulent activity to payment processors, financial institutions, shipping carriers, insurance providers, law enforcement authorities, or other appropriate governmental agencies where permitted or required by law.

8. ORDER ACCEPTANCE AND PROCESSING

Your receipt of an order confirmation, confirmation email, order number, or payment authorization does not constitute Sonicific's acceptance of your order. All orders are subject to review, verification, inventory availability, payment approval, and final acceptance by Sonicific.

Sonicific reserves the right, in its sole discretion and without prior notice, to refuse, reject, limit, delay, or cancel any order for any lawful reason, including but not limited to suspected fraud, inaccurate pricing or product information, inventory shortages, payment authorization issues, suspected unauthorized or commercial purchasing activity, violations of these Terms, shipping restrictions, or compliance with applicable laws and regulations.

We may, but are not obligated to, contact you to verify your identity, billing information, shipping address, payment details, or any other information necessary to process your order. Failure to provide requested information within a reasonable time may result in the cancellation of your order.

If an order or any portion of an order is cancelled after payment has been successfully processed, Sonicific will issue a refund for the applicable amount to the original payment method, unless otherwise required by applicable law. Refund processing times may vary depending on your financial institution or payment provider.

Sonicific reserves the right to limit quantities purchased per person, household, payment method, account, or shipping address, and to prohibit orders that appear to be placed by resellers, distributors, automated purchasing systems, or other parties purchasing products for unauthorized commercial purposes.

Except as required by applicable law, Sonicific shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages, including lost profits, lost opportunities, or other losses arising out of our refusal, delay, limitation, or cancellation of any order.

9. SUBSCRIPTIONS; AUTOMATIC RENEWAL; CANCELLATION

Certain Sonicific products may be offered as one-time purchases or through an automatically renewing subscription program ("Subscription"), depending on availability at the time of purchase. By enrolling in a Subscription, you expressly authorize Sonicific and its authorized payment processors to automatically charge your selected payment method for each recurring order at the billing frequency you choose during checkout until your Subscription is cancelled.

Your Subscription will automatically renew at the selected delivery interval unless you cancel before the renewal cutoff applicable to your next scheduled order. The renewal date, billing frequency, product selection, and pricing applicable to your Subscription will be displayed during checkout and may also be viewed in your customer account.

Unless otherwise required by applicable law, cancellation requests must be submitted before your next recurring order is processed. Once a recurring order has been charged or prepared for fulfillment, it may not be cancelled, modified, or refunded except as provided in our Refund Policy.

Subject to product availability and the features supported by your Subscription platform, you may manage your Subscription through your customer account, including updating your payment method, shipping address, delivery frequency, or, where available, pausing, skipping, rescheduling, reactivating, or cancelling future recurring orders.

Sonicific reserves the right to modify Subscription pricing, shipping charges, available products, renewal intervals, promotional benefits, or Subscription program features at any time. Any material changes affecting future recurring orders will apply only after notice is provided where required by applicable law.

If your recurring payment cannot be successfully processed for any reason, including an expired payment method, insufficient funds, or a payment authorization failure, Sonicific may retry the payment, suspend future shipments, request updated payment information, terminate your Subscription, or pursue any other remedies available under applicable law. You authorize Sonicific to contact you using the email address, telephone number, or other contact information associated with your account regarding payment issues or Subscription administration.

Sonicific may utilize account updating services offered by payment networks or financial institutions to obtain updated payment card information when available. You acknowledge that such services are provided by third parties, and Sonicific is not responsible for the accuracy or availability of updated payment information.

Sonicific reserves the right to suspend, refuse, or terminate any Subscription at its sole discretion, including where we reasonably believe there has been fraudulent activity, abuse of promotional offers, excessive returns, unauthorized resale, violations of these Terms, or other conduct that may adversely affect Sonicific or its customers.

You remain responsible for all charges incurred prior to the effective cancellation of your Subscription, including any recurring order that has already been processed before your cancellation request became effective. Any unpaid balances may be collected using any lawful means available to Sonicific.

By purchasing a Subscription, Customer expressly acknowledges the recurring billing terms before completing checkout.

10. SHIPPING AND DELIVERY

Sonicific offers shipping to eligible destinations where our products may legally be sold and delivered. Shipping availability, delivery methods, shipping fees, estimated transit times, and destination restrictions may vary depending on the delivery location, inventory availability, carrier capacity, customs requirements, and other operational factors.

Additional information regarding order processing, fulfillment, shipping methods, estimated delivery times, and shipping restrictions is available in our Shipping Policy, which is incorporated into these Terms by reference.

Customers are solely responsible for providing a complete, accurate, and deliverable shipping address, recipient name, telephone number, and any other information required to complete delivery. Sonicific shall not be responsible for delays, failed deliveries, additional shipping charges, returned packages, lost shipments, or other damages resulting from inaccurate, incomplete, or outdated shipping information provided by the customer.

Estimated delivery dates are provided for convenience only and are not guaranteed. Shipping and delivery times may be affected by factors beyond

Sonicific's reasonable control, including weather conditions, customs inspections, carrier delays, labor disruptions, governmental actions, force majeure events, or other unforeseen circumstances. Sonicific shall not be liable for any delay in delivery that is outside of its reasonable control.

Risk of loss and title to products pass to the customer upon delivery of the order to the carrier or as otherwise provided under applicable law. Sonicific is not responsible for packages that are lost, stolen, delayed, misdelivered, or damaged after the shipment has been transferred to the carrier, except where otherwise required by applicable law.

If you need to modify or cancel an order after it has been placed, you must contact Sonicific Customer Support as soon as possible. While we will make reasonable efforts to accommodate your request before your order enters fulfillment or shipping, we cannot guarantee that changes or cancellations will be possible once order processing has begun.

International shipments may be subject to customs inspections, import duties, taxes, brokerage fees, or other governmental charges imposed by the destination country. Unless expressly stated otherwise, such charges are the sole responsibility of the customer. Sonicific is not responsible for delays resulting from customs clearance procedures or import compliance requirements.

If a shipment is refused by the recipient, abandoned, returned due to an incorrect address, or cannot be delivered because the customer failed to provide accurate delivery information or complete any required customs procedures, Sonicific reserves the right to deduct any shipping costs, return shipping fees, customs charges, carrier fees, or other expenses incurred before issuing any applicable refund, unless otherwise required by applicable law.

Sonicific shall not be liable for any delay or failure to perform any obligation resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, epidemics, governmental actions, war, terrorism, labor disputes, supply shortages, transportation interruptions, customs delays, internet outages, cyberattacks, or failures of third-party service providers.

EXPORT COMPLIANCE:

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to U.S. trade sanctions or export restrictions and are not listed on any U.S. government restricted party list.

Sonicific reserves the right to refuse or cancel any order that would violate applicable export control or sanctions laws.

Customers are solely responsible for ensuring that the Products may be legally imported, possessed, and used within the destination country or jurisdiction. Sonicific makes no representation that its Products may lawfully be imported into every country.

11. DELIVERY CONFIRMATION

A shipment shall be deemed delivered when the applicable shipping carrier records the package as delivered to the delivery address provided by the customer, including delivery confirmation through tracking records, photographic evidence, GPS verification, parcel locker confirmation, mailroom acceptance, or any other delivery confirmation method utilized by the carrier.

Unless otherwise required by applicable law, carrier delivery records shall constitute conclusive evidence of successful delivery, regardless of whether a signature is obtained. Sonicific shall not be responsible for lost, stolen, misplaced, or missing packages after the carrier has confirmed delivery to the designated address.

If you believe a package has been lost or misdelivered after a carrier has marked it as delivered, you agree to cooperate with Sonicific and the shipping carrier in any investigation, including providing any information reasonably requested. Any replacement, reshipment, refund, or other resolution shall be provided solely at Sonicific's discretion or as otherwise required by applicable law or the carrier's claims process.

12. RETURNS, REFUNDS, AND EXCHANGES

Customer satisfaction is important to Sonicific. Returns, refunds, and exchanges are governed exclusively by our then-current Return & Refund Policy, which is incorporated into these Terms by reference and forms part of your agreement with Sonicific.

Eligibility for a return, refund, replacement, exchange, or store credit is determined solely in accordance with the Return & Refund Policy in effect at the time your order is placed. Certain products, promotional items, bundled products, subscription orders, clearance items, gift cards, or other designated products may be excluded from returns or subject to additional eligibility requirements as described in the applicable Return & Refund Policy.

Before authorizing any return, Sonicific may require proof of purchase, photographs of the product, shipment information, or other documentation reasonably necessary to verify your claim. Returns sent without prior authorization, where authorization is required under our Return & Refund Policy, may be refused or returned to the sender.

Unless otherwise expressly stated in our Return & Refund Policy or required by applicable law, original shipping charges, expedited shipping fees, customs duties, taxes, insurance, carrier surcharges, and similar non-product charges are non-refundable.

Once an approved return is received and inspected, Sonicific will determine whether the returned item satisfies the applicable return requirements. If approved, any refund, replacement, exchange, or store credit will be processed in accordance with our Return & Refund Policy. Refunds will generally be issued to the original payment method unless otherwise required by applicable law or expressly agreed by Sonicific.

The time required for a refund to appear in your account depends on your payment provider or financial institution and is outside Sonicific's control. Sonicific shall not be responsible for delays caused by banks, payment processors, credit card issuers, or other third parties involved in processing refunds.

If Sonicific determines, or a governmental authority requires, that a Product should be recalled, withdrawn, or corrected, Sonicific may notify affected customers and provide replacement products, refunds, credits, or other remedies as required by applicable law. 

Nothing in these Terms limits any consumer rights that cannot be waived under applicable law.

PRODUCT RECALLS; SAFETY NOTICES

If Sonicific determines, or any governmental authority, regulatory agency, manufacturer, supplier, or other competent authority recommends or requires, that any Product should be recalled, withdrawn, corrected, relabeled, or subject to a safety notice, Sonicific may, to the fullest extent permitted by applicable law, take any action it reasonably considers appropriate to protect customers and comply with applicable legal or regulatory requirements.

Such actions may include, without limitation:

• requesting customers to immediately discontinue use of the Product;

• requesting customers to return, destroy, or otherwise dispose of the affected Product in accordance with instructions provided by Sonicific;

• providing replacement Products, refunds, store credit, corrective labeling, or other appropriate remedies;

• limiting further sales or shipments of the affected Product; and

• communicating recall or safety information by email, telephone, SMS (where consent has been provided), Website notices, or any other reasonable communication method.

Customers agree to reasonably cooperate with any Product recall, market withdrawal, safety correction, or investigation and Customer agrees to immediately discontinue use of any Product subject to a safety notice or recall.

Nothing in this Section limits any consumer rights or remedies that cannot be waived under applicable law.

Failure to comply with reasonable recall instructions may affect a customer's eligibility for replacement products, refunds, or other remedies to the extent permitted by applicable law.

THIRD-PARTY MARKETPLACE PURCHASES

Products purchased through Amazon, Walmart Marketplace, eBay, TikTok Shop, or any other authorized third-party retailer or marketplace may be subject to the applicable return, refund, exchange, customer service, and dispute resolution policies of that retailer or marketplace. Where applicable, customers should first contact the retailer from whom the Product was purchased.

13. SOCIAL MEDIA AND USER INTERACTIONS

Sonicific may maintain official accounts, pages, channels, communities, or other presences on various third-party social media platforms (collectively, the "Social Media Channels"), including but not limited to Facebook, Instagram, TikTok, YouTube, X (formerly Twitter), Pinterest, LinkedIn, and other platforms that may be added from time to time.

Your use of any Social Media Channels is governed not only by these Terms but also by the applicable terms of service, community standards, privacy policies, and other rules established by the relevant platform. Sonicific has no control over, and assumes no responsibility for, the operation, security, availability, or policies of any third-party social media platform.

Any comments, photographs, videos, reviews, messages, tags, mentions, or other content submitted, shared, or published by users through our Social Media Channels represent the views of the individual users only and do not necessarily reflect the opinions, positions, or endorsements of Sonicific. Sonicific does not verify the accuracy, completeness, or reliability of user-generated content and disclaims all responsibility for such content to the fullest extent permitted by applicable law.

Sonicific reserves the right, but has no obligation, to monitor, review, moderate, hide, restrict, report, or remove any user-generated content, or to block or restrict access to any user, where permitted by applicable law, including content that Sonicific reasonably believes to be unlawful, fraudulent, defamatory, misleading, abusive, harassing, threatening, infringing upon intellectual property rights, violates these Terms, or is otherwise inappropriate.

By voluntarily posting or submitting content on or through our Social Media Channels and tagging, mentioning, or otherwise interacting with Sonicific, you represent and warrant that you have all necessary rights to such content and that your submission does not violate any applicable law or the rights of any third party.

If you believe that any content appearing on our Social Media Channels violates your rights or applicable law, you should report the content directly through the reporting tools provided by the applicable platform. You may also contact Sonicific through the contact methods identified on our Website so that we may review the matter where appropriate. Sonicific makes no guarantee that any reported content will be removed.

Sonicific is committed to improving the accessibility and usability of its Website. If you experience difficulty accessing any portion of the Website, please contact us so that we may make reasonable efforts to provide the requested information or assistance in an alternative format where practicable. 

Sonicific does not adopt, verify, or endorse any medical, therapeutic, or disease-related claims contained in customer reviews or testimonials.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Sonicific, together with its parent companies, subsidiaries, affiliates, officers, directors, managers, employees, contractors, agents, licensors, service providers, successors, and assigns, shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages arising out of or relating to your access to or use of the Website, your purchase or use of any Products or Services, these Terms, or any related policies, regardless of the legal theory asserted and even if Sonicific has been advised of the possibility of such damages.

Without limiting the foregoing, Sonicific shall not be liable for any loss of profits, revenue, business opportunities, anticipated savings, goodwill, reputation, data, content, use, or other intangible losses; business interruption; loss resulting from unauthorized access to or alteration of your information; delays in delivery; product unavailability; system failures; or the cost of obtaining substitute products or services.

The limitations set forth in this Section apply regardless of whether a claim is based on contract, tort (including negligence), strict liability, statute, warranty, misrepresentation, or any other legal or equitable theory, and regardless of whether any limited remedy fails of its essential purpose.

To the extent Sonicific is found liable notwithstanding the foregoing limitations, Sonicific's total cumulative liability for all claims arising out of or relating to the Website, the Products, the Services, or these Terms shall not exceed the greater of (i) the total amount actually paid by you to Sonicific for the applicable order giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) five hundred U.S. dollars (US$500.00).

You acknowledge and agree that the pricing of our Products and Services reflects this allocation of risk and that these limitations of liability are an essential basis of the agreement between you and Sonicific. Without these limitations, Sonicific would not be able to offer the Website, Products, or Services on the same commercial terms.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, gross negligence where such limitation is prohibited, or any other liability that applicable law does not permit to be limited or excluded. If any portion of this Section is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

16. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER

Before commencing any arbitration, lawsuit, or other legal proceeding arising out of or relating to these Terms, the Website, any Product, or any Service, you agree to first provide Sonicific with written notice of your claim.

Your notice must include:

• your full name and contact information;

• the email address associated with your order or account;

• your order number (if applicable);

• a detailed description of the facts giving rise to the dispute;

• the legal basis of your claim; and

• the specific relief you are requesting.

Upon receipt of a complete written notice, both parties agree to participate in good-faith discussions for at least thirty (30) days in an effort to resolve the dispute before initiating arbitration or litigation.

During this thirty (30) day period, neither party shall commence arbitration or court proceedings unless immediate injunctive relief is reasonably necessary to prevent irreparable harm.

If the parties are unable to resolve the dispute after completion of the informal resolution period, either party may proceed as otherwise permitted under these Terms.

At Sonicific, we strive to resolve customer concerns fairly and efficiently. Before initiating arbitration or legal proceedings, you agree to first contact us and make a good-faith effort to resolve the dispute informally. If the dispute cannot be resolved within thirty (30) days after we receive written notice of the dispute, either party may proceed as provided in this Section.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Website, the Products, the Services, your purchase, or your relationship with Sonicific, including any question regarding the existence, validity, interpretation, enforceability, or termination of these Terms, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect.

This arbitration agreement is governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1–16. The arbitrator shall have exclusive authority to determine the scope, enforceability, and applicability of this arbitration agreement, including any challenge to the arbitrability of a dispute.

Unless otherwise required by applicable law, arbitration shall be conducted on an individual basis only. Neither you nor Sonicific may bring, participate in, or recover relief through any class action, collective action, consolidated action, representative action, or private attorney general action. The arbitrator may not consolidate the claims of multiple parties or preside over any class or representative proceeding.

The arbitrator may award only those remedies available to an individual party under applicable law and consistent with these Terms. Any arbitration award shall be final and binding and may be entered as a judgment in any court having jurisdiction.

Nothing in this Section prevents either party from seeking temporary, preliminary, or permanent injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, trade secrets, or other proprietary rights pending the completion of arbitration.

To the extent court proceedings are permitted under these Terms or are necessary to enforce or challenge an arbitration award, you agree that such proceedings shall be brought exclusively in the state or federal courts located in the State of Wyoming. You consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens.

If any provision of this Section is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

Governing Law. These Terms, the Website, all purchases of Products or Services, and any dispute arising out of or relating to these Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any purchase made through the Website. 

Nothing in these Terms limits any rights available to consumers under applicable California law.

LIMITATION PERIOD FOR CLAIMS

To the fullest extent permitted by applicable law, any claim, action, demand, arbitration, proceeding, or cause of action arising out of or relating in any way to:

• these Terms;

• the Website;

• any Product or Service;

• any order or purchase;

• any advertising, marketing, representation, or communication made by Sonicific; or

• your relationship with Sonicific,

must be commenced within one (1) year after the claim first arose or could reasonably have been discovered through the exercise of reasonable diligence.

Any claim not timely commenced shall be permanently barred and waived.

This contractual limitation period applies regardless of the form of action or legal theory asserted, including contract, tort (including negligence), strict liability, statute, warranty, fraud, misrepresentation, unjust enrichment, or any other legal or equitable theory.

Nothing contained in this Section shall shorten any limitation period that applicable law expressly prohibits from being shortened or otherwise limit any non-waivable consumer rights.

The parties expressly acknowledge and agree that this contractual limitation period is a material basis upon which Sonicific offers the Website, Products, and Services and that, without such limitation, the prices charged for the Products and Services would be higher.

RIGHT TO CURE: To the fullest extent permitted by applicable law, Sonicific shall have a reasonable opportunity to investigate and, where appropriate, correct, cure, replace, refund, or otherwise resolve the matter before any arbitration or legal proceeding is commenced. 

17. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sonicific LLC, its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, managers, employees, contractors, agents, licensors, service providers, suppliers, distributors, and business partners (collectively, the "Sonicific Parties") from and against any and all claims, demands, actions, proceedings, liabilities, judgments, settlements, losses, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees and legal expenses, arising out of or relating to:

1. Your access to or use of the Website, Products, or Services;

2. Your violation of these Terms or any policy incorporated into these Terms by reference;

3. Any information, content, or materials that you submit, upload, transmit, or otherwise make available through the Website;

4. Your violation of any applicable law, regulation, or governmental requirement;

5. Your infringement or alleged infringement of any intellectual property, privacy, publicity, or other legal rights of any third party; or

6. Any fraudulent, negligent, unauthorized, or otherwise wrongful act or omission by you.

Sonicific reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with Sonicific in the defense or settlement of the applicable claim. You may not settle any claim that imposes any obligation or liability upon any Sonicific Party without Sonicific's prior written consent.

The indemnification obligations set forth in this Section shall survive the termination of these Terms, your account, or your use of the Website, Products, or Services.

18. THIRD-PARTY WEBSITES, SERVICES, AND CONTENT

The Website may contain links to, integrate with, or otherwise provide access to third-party websites, applications, platforms, products, services, advertisements, social media channels, payment processors, logistics providers, or other resources (collectively, "Third-Party Services"). These Third-Party Services are provided solely for your convenience and do not constitute an endorsement, sponsorship, recommendation, or approval by Sonicific.

Sonicific does not own, operate, control, or monitor Third-Party Services and is not responsible for their availability, accuracy, legality, security, content, privacy practices, terms of use, products, services, or business practices. Your access to and use of any Third-Party Service is solely at your own risk and is governed exclusively by the terms, conditions, and privacy policies of the applicable third party.

Sonicific makes no representations or warranties regarding any Third-Party Services and expressly disclaims any liability arising out of or relating to your use of, reliance upon, or transactions with any third party. This includes, without limitation, any purchases, payments, subscriptions, deliveries, communications, warranties, representations, or other interactions between you and a third party.

Any questions, disputes, complaints, refund requests, warranty claims, or other issues relating to Third-Party Services or third-party products must be directed exclusively to the applicable third party. Sonicific shall have no obligation to intervene in or resolve disputes between you and any third party.

Nothing in this Section limits any rights that cannot be waived under applicable law.

Except as expressly permitted by these Terms or with Sonicific's prior written consent, you may not:

• copy, reproduce, distribute, publish, display, perform, transmit, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from any portion of the Website or Content;

• use any Content for commercial purposes;

• remove, obscure, or alter any copyright, trademark, or proprietary notices;

• use data mining, scraping, automated collection tools, bots, spiders, artificial intelligence systems, or similar technologies to extract or reproduce Website content;

• use the Website or Content to develop, train, improve, or validate any artificial intelligence, machine learning, or similar models without Sonicific's prior written consent;
